Welcome to AEGIS AI (Advanced Evidence-Guided Intelligence System), where healthcare innovation meets artificial intelligence to transform cardiovascular care. By accessing, registering for, or using the AEGIS AI platform and services, you agree to the following Terms and Conditions.
1. Definitions
"Company," "we," "our," or "us" refers to AEGIS AI and its affiliates.
"User," "you," or "your" refers to the individual healthcare professional, organization, or institution accessing or using the Platform.
"Platform" means the AEGIS AI cardiovascular digital twin system, including all software, applications, algorithms, features, and related services.
"Services" includes risk assessment, predictive analytics, clinical decision support, digital twin modeling, and all other functionalities provided through the Platform.
"Patient Data" means all health information, medical records, and clinical data processed through the Platform.
"Protected Health Information" or "PHI" has the meaning defined under HIPAA regulations.
2. Account Registration and Access
Eligibility
The Platform is intended solely for licensed healthcare professionals, authorized clinical staff, and healthcare organizations.
You must be at least 18 years of age and possess appropriate credentials to access the Platform.
By registering, you represent that all information provided is accurate, complete, and current.
Account Security
You are responsible for maintaining the confidentiality of your account credentials.
You must immediately notify us of any unauthorized access or security breaches.
Account sharing is prohibited unless explicitly authorized through enterprise licensing.
We reserve the right to suspend or terminate accounts that violate these Terms.
Verification
We may require verification of your professional credentials, licenses, and institutional affiliations.
Access may be restricted or revoked if verification cannot be completed or credentials expire.
3. Permitted Use and Restrictions
Permitted Uses
You may use the Platform to:
Assess cardiovascular risk and generate predictive analytics for patient care
Create and analyze digital twin models for treatment planning
Access clinical decision support tools and evidence-based recommendations
Collaborate with authorized members of your healthcare team
Conduct research using de-identified data (where explicitly permitted)
Prohibited Uses
You may not:
Use the Platform for any unlawful, fraudulent, or unauthorized purposes
Access or attempt to access Patient Data without proper authorization
Reverse engineer, decompile, or attempt to extract source code from the Platform
Circumvent security measures, authentication systems, or access controls
Use the Platform to harm, harass, or discriminate against any individual
Share, sell, or distribute access credentials or Platform content
Use automated systems (bots, scrapers) to access the Platform without permission
Interfere with or disrupt the Platform's operation or infrastructure
Submit false, misleading, or inaccurate data that could compromise patient safety
4. Fees, Payment, and Subscription
Pricing
All subscription fees, usage charges, and related costs will be clearly communicated at the time of registration.
Pricing may vary based on subscription tier, number of users, data volume, and institutional licensing.
Payment Terms
Payment must be made in full according to the billing schedule (monthly, annually, or as agreed).
Late or incomplete payments may result in suspension or termination of access.
All fees are non-refundable unless otherwise specified in writing or required by law.
Changes to Fees
We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.
Continued use of the Platform after fee changes constitutes acceptance of the new pricing.
Taxes
Fees do not include applicable taxes, which are your responsibility unless we are legally required to collect them.
5. Clinical Use and Medical Disclaimer
Clinical Decision Support Tool
The Platform is designed to assist, not replace, clinical judgment and professional medical expertise.
All clinical decisions remain the sole responsibility of the treating healthcare provider.
The Platform provides evidence-based recommendations, but you must independently verify and validate all outputs.
Not a Substitute for Professional Judgment
AEGIS AI does not practice medicine and does not provide medical advice directly to patients.
Users must exercise independent clinical judgment and consider patient-specific factors not captured by the Platform.
The Platform should be used in conjunction with, not as a replacement for, standard clinical assessment.
Regulatory Status
The Platform is pending FDA clearance.
Use of the Platform must comply with all applicable healthcare regulations and institutional policies.
No Guarantees
While we strive for accuracy, we do not guarantee that Platform outputs will be error-free, complete, or applicable to every clinical scenario.
Healthcare outcomes depend on numerous factors beyond the Platform's scope.
6. Intellectual Property Rights
Platform Ownership
All Platform content, including software, algorithms, machine learning models, user interfaces, documentation, and branding, is owned by AEGIS AI or our licensors.
These Terms grant you a limited, non-exclusive, non-transferable license to access and use the Platform for authorized purposes only.
User-Generated Content
You retain ownership of Patient Data and clinical information you input into the Platform.
By using the Platform, you grant us a limited license to process, analyze, and store your data solely to provide Services.
For de-identified data used in research and AI model training, you grant us a perpetual, worldwide license as described in our Privacy Policy.
Restrictions
You may not reproduce, distribute, modify, create derivative works, publicly display, or commercially exploit Platform content without written permission.
Personal note-taking and clinical documentation using Platform outputs are permitted for patient care purposes.
Limited sharing within your authorized care team is permitted for collaborative treatment planning.
Trademarks
"AEGIS AI," the AEGIS logo, and other marks are trademarks of AEGIS AI. Unauthorized use is prohibited.
7. Data Privacy and HIPAA Compliance
Privacy Commitment
Our collection, use, and protection of your information is governed by our Privacy Policy, which is incorporated into these Terms.
We are committed to full compliance with HIPAA, HITECH, GDPR, and other applicable data protection laws.
Business Associate Agreement
For covered entities and business associates, a HIPAA Business Associate Agreement (BAA) is required and incorporated by reference.
We will process PHI only as permitted under the BAA and applicable law.
Data Security
We implement industry-leading security measures as detailed in our Privacy Policy.
However, you acknowledge that no system is completely secure, and you use the Platform at your own risk.
Your Responsibilities
You must comply with all applicable privacy laws when using the Platform.
You are responsible for obtaining necessary patient consents and authorizations.
You must implement appropriate safeguards to protect access credentials and prevent unauthorized access.
8. Confidentiality
Confidential Information
Both parties agree to maintain the confidentiality of proprietary information, trade secrets, and sensitive data shared during the course of using the Platform.
Confidential information does not include information that: (a) is publicly available through no fault of the receiving party, (b) was rightfully known prior to disclosure, or (c) is independently developed.
Professional Responsibility
Healthcare providers must maintain patient confidentiality in accordance with professional ethical standards and legal obligations.
Sensitive clinical information shared through the Platform should be handled with appropriate care and discretion.
9. Liability and Indemnification
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGIS AI SHALL NOT BE LIABLE FOR:
Indirect, incidental, consequential, special, or punitive damages
Loss of profits, revenue, data, or business opportunities
Medical errors, misdiagnosis, or adverse patient outcomes
Damages resulting from unauthorized access or data breaches not caused by our gross negligence
Third-party claims arising from your use of the Platform
Our total liability for all claims arising from these Terms is limited to the fees you paid in the 12 months preceding the claim.
Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee uninterrupted, error-free, or secure operation of the Platform.
User Indemnification
You agree to indemnify, defend, and hold harmless AEGIS AI from claims, damages, and expenses (including legal fees) arising from:
Your violation of these Terms
Your misuse of the Platform
Your violation of applicable laws or regulations
Claims related to patient care decisions made using Platform outputs
Unauthorized disclosure of Patient Data or PHI
Exceptions
Nothing in these Terms limits liability for: (a) death or personal injury caused by gross negligence, (b) fraud or fraudulent misrepresentation, or (c) matters that cannot be limited by applicable law.
10. Platform Changes, Updates, and Availability
Right to Modify
We reserve the right to update, modify, or discontinue Platform features, functionality, or Services at any time.
We will provide reasonable notice of material changes that significantly impact functionality.
Continued use after changes constitutes acceptance of the modified Platform.
Maintenance and Downtime
We strive for 99.9% uptime but may temporarily suspend access for maintenance, updates, or emergency repairs.
Scheduled maintenance will be communicated in advance when possible.
We are not liable for damages resulting from temporary service interruptions.
Algorithm Updates
Our AI models and algorithms are continuously improved based on new research and data.
Updates may affect risk scores or recommendations; you should review outputs in context of current clinical standards.
11. Term and Termination
Term
These Terms remain in effect for the duration of your use of the Platform.
Subscription terms are specified in your registration or agreement documents.
Termination by You

Upon termination, you will lose access to the Platform and associated data per our retention policies.
Termination by Us
We may suspend or terminate your access immediately if you:
Violate these Terms or applicable laws
Engage in conduct that poses safety or security risks
Fail to pay fees when due
Provide false information or credentials
We may terminate your access with 30 days' notice for any other reason.
Effect of Termination
Upon termination, your license to use the Platform immediately ends.
We will retain or delete data in accordance with our Privacy Policy and legal requirements.
You may request an export of your Patient Data within 30 days of termination (fees may apply).
Provisions that by their nature should survive (liability, indemnification, confidentiality) remain in effect.
12. Dispute Resolution
Governing Law

Negotiation
In the event of a dispute, parties agree to first attempt resolution through good-faith negotiation.

We are required to report adverse events to regulatory authorities and may request your cooperation.
Audits
We may conduct audits to ensure compliance with these Terms and applicable regulations.
You agree to cooperate with reasonable audit requests and maintain required documentation.
14. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any executed agreements (BAA, enterprise license), constitute the entire agreement between you and AEGIS AI.
These Terms supersede all prior agreements, communications, and understandings.
Amendments
We may update these Terms periodically to reflect legal changes, platform updates, or business practices.
Material changes will be communicated via email and posted on our website with an updated effective date.
Continued use after changes constitutes acceptance of modified Terms.
Severability
If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.
Invalid provisions will be modified to the minimum extent necessary to make them enforceable.
Waiver
Our failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it later.
Waivers must be in writing to be effective.
Assignment
You may not assign or transfer these Terms without our written consent.
We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control (natural disasters, war, pandemics, government actions, infrastructure failures).
